SUMMARY:Special General Meeting 30th September 2026
DESCRIPTION:EdTechSA has called a Special General Meeting of members to change the Rules of Association. \nWe ask all members who are available to join us online and ratify these changes. \nWe need at least ten members to attend this meeting. It will be a very short meeting as the rule change is the only item of business. \nRegister your attendance at Humanitix \nThe reason for these changes are listed as follows \nRationale \nCurrently an annual auditor’s report costs us approximately 40% of our income. \nAs EdTechSA is a charity organisation and our income is less than $70\,000 annually\, we are therefore not required to have a formal audit or an auditor’s report by a practicing-chartered accountant. \nCurrently EdTechSA meets its legal and financial transparency requirements through the employment of a professional bookkeeper. We will continue to maintain our financial records using this service. \nWe propose the removal of the auditor’s report from our Rules of Association.  The following will allow us to maintain rigorous financial records\, take proper fiscal responsibility while complying with all the Consumer and Business Affairs Guidelines and rules governing volunteer Associations. \nProposed Change \nWe propose the following change to 8.1 General Meetings in our Rules of Association \nGENERAL MEETINGS \n8.1       Annual General Meeting\n \nThe Annual General Meeting shall be held within five months after the close of the financial year for the purpose of electing the members of the Management Committee.  \n8.1.1 The order of the business at the Annual General Meeting shall be: \n(i) the confirmation of the minutes of the previous Annual General Meeting and of any Special General Meeting held since that meeting \n(ii) the consideration of the accounts and reports of the Management Committee and the auditor’s report (remove these words) \n(iii) the election of Management Committee members \n(iv) the appointment of auditors (remove this line) \n(iv) any other business requiring consideration by the Association in general meeting. \nAnd to \n11.6     Proper and full records of all financial transactions shall be kept and audited prior to the Annual General Meeting.
